These Terms and Conditions ("Terms") govern your registration for and participation in the GoodWe PLUS+ program, including use of its website, training and certification, installation claims, Points, rewards, referrals, campaigns and related activities.

GoodWe PLUS+ is operated by GoodWe Technologies Co., Ltd. ("GoodWe", "we", "us" or "our"). By registering, accessing or participating in GoodWe PLUS+, you agree to these Terms and the GoodWe PLUS+ Privacy Policy. If you do not agree, you should not participate in the program.

1. About GoodWe PLUS+

GoodWe PLUS+ is a professional installer partnership program that may provide training, certification, installation claim opportunities, Points, rewards, referrals, events, campaigns and other partner activities.

Participation does not create an employment, agency, franchise, distributorship, joint venture or other representative relationship with GoodWe. GoodWe does not guarantee any minimum level of business, customer leads, income, Points, rewards or other commercial opportunities.

Program features and eligibility may vary by country, participant category, campaign or period.

2. Eligibility and Account

To participate, you must:

• have legal capacity to accept these Terms and meet any applicable program eligibility requirements;
• provide accurate, current and complete registration information and keep it up to date;
• participate in your own identity and maintain only the account or accounts expressly permitted by GoodWe; and
• comply with applicable laws, these Terms and any specific rules that apply to a campaign or activity.

You are responsible for safeguarding your account credentials and activity carried out through your account. You must not share your account for the purpose of submitting claims or earning benefits, use another participant's account, create duplicate accounts to obtain additional benefits, or attempt to bypass program security or eligibility controls.

GoodWe may verify registration information and may refuse, restrict or cancel an account where information is inaccurate, incomplete, duplicated, misleading or inconsistent with program eligibility.

3. Training and Certification

GoodWe PLUS+ may provide product, solution, installation, commissioning, troubleshooting and other training. Completion of specified training and assessments may result in a GoodWe PLUS+ certificate or status.

GoodWe PLUS+ training and certification do not constitute a government licence, statutory or professional qualification, regulatory approval, or GoodWe's approval of an installer's business or work.

Certification confirms only that the participant has completed the relevant GoodWe PLUS+ requirements at that time. It does not replace any licence, permit, registration, local standard or legal requirement, and does not guarantee competence for every site or installation.

4. Installer Responsibilities

You remain responsible for the design, installation, commissioning, maintenance, repair and safety of work performed by you or your installation team. You are also responsible for determining whether you are legally and technically qualified to perform any particular work.

Training and technical information made available through GoodWe PLUS+ are for professional development and product understanding. They do not replace current GoodWe product manuals and official technical documentation, applicable electrical and safety standards, site-specific engineering requirements, required permits or professional judgment.

GoodWe PLUS+ certification, acceptance of an Installation Claim or award of Points does not constitute inspection, approval, certification or warranty by GoodWe of the relevant installation.

5. Installation Claims and Verification

Eligible participants may submit information about completed GoodWe installations ("Installation Claims"). By submitting a claim, you confirm that the installation is genuine, the claimed products were actually installed, the information and serial numbers are accurate, supporting photographs or other evidence relate to that installation, and you have the right to provide the submitted information.

You must not knowingly submit the same product or serial number more than once, submit false or misleading evidence, claim an installation that did not occur, or misrepresent the installer, distributor, partner or other material information connected with the claim.

All claims are subject to review and verification. GoodWe may approve or reject a claim, request additional information or evidence, place a claim under further review, correct information where appropriate, or reverse a previous approval if later information shows that the claim was inaccurate, duplicated, fraudulent or otherwise ineligible.

The presence of a product or serial number in GoodWe systems does not by itself guarantee eligibility for Points.

6. Points

GoodWe PLUS+ may award Points for eligible activities such as approved installations, training, referrals, events, campaigns and other qualifying participation. The number of Points available may depend on the product, participant status, partner, campaign, country or other program rules applicable at the relevant time.

Points are awarded only when the relevant eligibility requirements have been satisfied. Points shown as pending or awaiting verification are not final.

GoodWe may correct or reverse Points awarded because of system or administrative error, incorrect calculation, duplicate activity, inaccurate or invalid claims, fraud, misuse or other ineligible activity.

Points are program benefits only. They are not money, a bank balance, deposit, investment, stored-value account or transferable property, do not earn interest, and may not be sold, assigned or transferred between participants.

7. Rewards

Participants with sufficient available Points may request rewards made available through GoodWe PLUS+. Reward options, availability and eligibility may vary by country, participant status, campaign or other program conditions.

A redemption request may be refused, cancelled or placed on hold where the participant lacks sufficient valid Points, the account or underlying Points are under review, required information is incomplete or inaccurate, there is reasonable evidence of fraud or misuse, the reward is unavailable, or fulfilment would violate applicable law.

Certain rewards may be supplied or fulfilled through independent third parties and may be subject to additional terms. Where a requested reward cannot be fulfilled, GoodWe may provide a reasonable alternative or restore the applicable Points, as appropriate.

8. Referrals, Campaigns and Program Status

GoodWe PLUS+ may offer additional Points or benefits for referrals, training, webinars, events, campaigns or other approved activities. Specific eligibility conditions may apply.

You must not create false or duplicate referrals, register accounts for persons who have not agreed to participate, or manipulate campaign, referral, training or other activity records.

GoodWe PLUS+ may include different certifications, tiers or participant statuses. Eligibility may depend on training, participation, professional capability, partnership considerations or other program criteria. Where a status is invitation-based, satisfying a training or activity requirement does not create an automatic entitlement to that status.

Specific campaign terms apply to that campaign and will prevail over these Terms only to the extent of a direct conflict.

9. Fraud, Misuse, Suspension and Termination

GoodWe may reject claims, reverse Points, cancel rewards, restrict or suspend an account, or terminate participation where reasonably justified by fraud or attempted fraud, duplicate or false claims, material or repeated breach of these Terms, misleading information, misuse of GoodWe intellectual property or certification, interference with program systems, or conduct that threatens the security or integrity of the program.

GoodWe may temporarily place claims, Points, redemptions or accounts under review while suspected misuse is investigated and may request reasonable supporting information from the participant.

Immediate action may be taken without prior notice where reasonably necessary to prevent fraud, protect security, comply with law or prevent material harm. Benefits obtained through fraud, error, duplication or other ineligible activity may be reversed or recovered to the extent permitted by law.

10. Intellectual Property and Participant Content

GoodWe and its licensors retain all rights in GoodWe PLUS+, including its names, trademarks, logos, website content, training and technical materials, certificates, badge designs, software and interfaces. Participation does not transfer ownership of GoodWe intellectual property.

You may use GoodWe PLUS+ certificates, badges and other materials only in the manner authorised by GoodWe and only while the relevant status remains valid. You must not use them in a way that falsely suggests GoodWe employs you, guarantees your services, assumes responsibility for your installations or has granted regulatory approval.

You retain ownership of original content you submit where you own the relevant rights. By submitting content, you grant GoodWe and its authorised service providers a non-exclusive licence to use, store, reproduce and process that content as reasonably necessary to administer the program, verify activities, prevent fraud, provide support, maintain records and comply with legal or audit requirements.

Any broader promotional or marketing use of participant content will be handled in accordance with applicable law, the GoodWe PLUS+ Privacy Policy and any additional consent required.

11. Privacy

Personal information collected through GoodWe PLUS+ is handled in accordance with the GoodWe PLUS+ Privacy Policy. Where you provide information relating to another person, you are responsible for ensuring that you are legally permitted to provide it. You should not submit unnecessary personal information about customers, property owners or other third parties.

12. Taxes and Legal Compliance

You are responsible for determining and meeting any personal, business, tax, licensing, reporting or other legal obligations arising from your participation in GoodWe PLUS+ or receipt of rewards.

GoodWe may require additional information, make deductions or withhold fulfilment where required by applicable tax, sanctions, anti-money-laundering or other laws.

13. Platform Availability and Disclaimer

GoodWe will use reasonable efforts to operate GoodWe PLUS+, but does not guarantee that the website, platform or any feature will always be available, uninterrupted, secure or error-free. Access may be affected by maintenance, software updates, network failures, security incidents, third-party service interruptions or circumstances outside GoodWe's reasonable control.

To the maximum extent permitted by applicable law, GoodWe PLUS+ is provided on an 'as available' basis. GoodWe does not warrant that participation will generate any particular amount of Points, rewards, sales, customers or business opportunities; that every claim will be approved; or that every displayed reward will remain available.

Nothing in GoodWe PLUS+ constitutes financial, tax, legal or site-specific engineering advice, and nothing in these Terms modifies or expands any separate product warranty provided by GoodWe.

14. Limitation of Liability

To the maximum extent permitted by applicable law, GoodWe will not be liable for indirect, incidental, special, punitive or consequential loss arising from or connected with GoodWe PLUS+, including loss of profit, revenue, business, opportunity, goodwill or anticipated savings.

In particular, GoodWe is not responsible through GoodWe PLUS+ for loss, damage, injury or third-party claims arising from installation, electrical, engineering or other services performed by a participant; failure to comply with applicable laws, standards, manuals or safety requirements; disputes between an installer and its customer; unauthorised account access caused by a participant's failure to protect credentials; or independent third-party products or services.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

15. Indemnity

To the extent permitted by applicable law, you will indemnify GoodWe, its affiliates and their personnel against third-party claims, losses, liabilities and reasonable costs arising from installation or other services performed by you or your installation team, your breach of these Terms, fraudulent or unlawful program activity, content submitted by you that infringes another person's rights, your violation of applicable law, or unauthorised use of GoodWe intellectual property.

This section does not apply to the extent that a claim was caused by GoodWe's own conduct for which liability cannot lawfully be excluded.

16. Changes to the Program, These Terms and Ending Participation

GoodWe PLUS+ is an evolving program. GoodWe may change, add, remove, suspend or discontinue program features, training content, eligibility rules, Points rules, product eligibility, participant classifications, campaigns or reward options.

GoodWe may also update these Terms. The current version and effective date will be made available through GoodWe PLUS+. Where required by law, or where a change materially affects participant rights or obligations, appropriate additional notice will be provided.

You may stop participating at any time. GoodWe may suspend, modify or discontinue the program, in whole or in part, or terminate an individual participant's access in accordance with these Terms. Outstanding valid claims, Points or redemption requests will be handled in accordance with the applicable program rules and applicable law.

17. General

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law. A failure by GoodWe to enforce a provision on one occasion does not waive its right to enforce that provision later.

You may not transfer your rights or obligations under GoodWe PLUS+ without GoodWe's prior written consent. GoodWe may use affiliates or authorised service providers to perform parts of the program on its behalf.

These Terms, together with the GoodWe PLUS+ Privacy Policy and any applicable specific campaign or activity terms, govern your participation in GoodWe PLUS+.

18. Governing Law and Contact

These Terms are governed by the laws of the People's Republic of China, without regard to its conflict-of-laws principles. Any dispute arising out of or in connection with GoodWe PLUS+ or these Terms shall be subject to the exclusive jurisdiction of the competent courts in Suzhou, Jiangsu Province, People's Republic of China, except where mandatory applicable law requires otherwise.

Nothing in these Terms limits any mandatory rights or remedies available under applicable law.
